TL;DR: Don't be a jerk, pay your bills, and don't use SodaFlex for anything illegal or sketchy. We provide the service, you use it responsibly. If something breaks, we'll try to fix it, but we're not liable for your billion-dollar marketing campaign that flopped. (Though we hope it doesn't!)

Welcome to SodaFlex's Terms of Service! These are the rules of the road for using our marketing platform. We've tried to make them readable, but they're still legal terms, so grab a caffeinated beverage (or a nice cold soda) and settle in.

1. The Agreement (Yes, This Is Legally Binding)

By using SodaFlex, you're agreeing to these Terms of Service, our Privacy Policy, and any other policies we've posted. If you don't agree, please don't use our service. (We'll be sad, but we understand.)

"SodaFlex," "we," "us," and "our" refers to SodaFlex, Inc., a US company. "You" and "your" refers to you, the person or company using our service.

2. Who Can Use SodaFlex

You must be at least 16 years old to use SodaFlex. By signing up, you represent that:

  • You're legally able to enter into binding contracts
  • All information you provide is accurate and truthful
  • You'll keep your account information up to date
  • You're not prohibited from using our service under US law or the laws of your jurisdiction

If you're signing up on behalf of a company, you represent that you have the authority to bind that company to these terms. (Check with your boss if you're not sure!)

3. Your Account (Handle With Care)

When you create an account:

  • Keep it secure - You're responsible for maintaining the security of your account and password
  • Don't share - Don't share your account credentials with others
  • You're responsible - You're responsible for all activity under your account, even if it wasn't you
  • Notify us - If you suspect unauthorized access, tell us immediately at security@sodaflex.com

We're not liable for any loss or damage from your failure to secure your account. Use a strong password. (Not "password123" or "sodaflex"—yes, people try these.)

4. Acceptable Use (Don't Be Evil)

You agree NOT to use SodaFlex to:

  • ❌ Violate any laws or regulations
  • ❌ Infringe on anyone's intellectual property rights
  • ❌ Send spam or unsolicited marketing emails (ironic, we know, but seriously—don't)
  • ❌ Harass, abuse, or harm others
  • ❌ Distribute malware, viruses, or harmful code
  • ❌ Scrape or harvest data from our service
  • ❌ Reverse engineer or attempt to access our source code
  • ❌ Impersonate others or misrepresent your affiliation
  • ❌ Use our service to compete with us (build your own marketing platform, don't clone ours)
  • ❌ Interfere with or disrupt our service or servers
  • ❌ Create fake accounts or use bots to manipulate the service

Basically: use SodaFlex for legitimate marketing purposes. If you're thinking "hmm, is this allowed?"—it's probably not. Email us if you're unsure.

5. Your Content (You Own It, But We Need Rights)

You retain all rights to the content you upload to SodaFlex, including:

  • Brand assets (logos, colors, fonts)
  • Marketing copy and creative content
  • Contact lists and CRM data
  • Campaign materials

However, you grant us a limited license to use your content solely to:

  • Provide the SodaFlex service to you
  • Generate AI-powered marketing content based on your brand
  • Display your content within your account and to your team members
  • Make backups and ensure technical functionality

We will NOT:

  • Share your content with other users
  • Use your content for our own marketing (unless you give explicit permission)
  • Sell or license your content to third parties

Important: You represent that you own or have the rights to all content you upload. Don't upload copyrighted material you don't have permission to use. We're not liable for your copyright infringement.

6. AI-Generated Content (The Robot Helped)

SodaFlex uses AI to help generate marketing content. Here's what you need to know:

  • You own it - Content generated by AI based on your inputs belongs to you (to the extent allowed by law)
  • Review it - AI can make mistakes. Always review and edit generated content before using it
  • You're responsible - You're responsible for ensuring AI-generated content is accurate, legal, and appropriate
  • No guarantees - We don't guarantee AI-generated content will be perfect, unique, or suitable for your needs

AI is a tool, not a replacement for human judgment. Use it wisely!

7. Intellectual Property (Ours and Yours)

SodaFlex and all our logos, trademarks, and service marks are owned by us. You can't use them without our permission. (If you want to write a blog post about us, that's cool—just don't pretend to be us or use our logo as your own.)

Our service, including the software, design, and features, is protected by copyright, trademark, and other intellectual property laws. You're licensed to use it, not to own it or copy it.

8. Payment Terms (Money Talk)

Subscription Plans

SodaFlex offers various subscription plans. By subscribing, you agree to:

  • Pay all fees when due
  • Provide accurate payment information
  • Keep your payment method current and valid

Billing

  • Recurring charges - Subscriptions renew automatically until you cancel
  • Payment method - We use Stripe for payment processing
  • Failed payments - If your payment fails, we may suspend or terminate your account after reasonable notice
  • Price changes - We may change our prices with 30 days' notice (we'll email you)

Refunds

We offer refunds in the following cases:

  • Technical issues that prevented you from using the service
  • Billing errors on our part
  • Within 14 days of your first subscription (one-time courtesy refund)

Refunds are issued at our discretion and are not guaranteed. Email billing@sodaflex.com with refund requests.

Cancellation

You can cancel your subscription anytime from your account settings. When you cancel:

  • You'll have access until the end of your current billing period
  • You won't be charged again
  • Your data will be retained for 30 days, then deleted (see our Privacy Policy)

9. Service Availability (We Try Our Best)

We work hard to keep SodaFlex running smoothly, but we can't guarantee:

  • The service will be available 100% of the time (we do maintenance, servers crash, stuff happens)
  • The service will be error-free or uninterrupted
  • All features will work perfectly in all browsers/devices
  • Data won't be lost (though we do backups and try hard to prevent it)

Your responsibility: Make your own backups of critical data. Export your campaigns, contact lists, and other important content regularly.

10. Modifications to the Service

We may modify, update, or discontinue features of SodaFlex at any time. We'll try to give you notice for major changes, but we're not required to.

We may also release new features that require additional fees. Existing features won't suddenly become paid unless we notify you in advance.

11. Third-Party Services (Not Our Fault)

SodaFlex integrates with third-party services (Google Ads, email providers, AI services, etc.). We're not responsible for:

  • How those services work (or don't work)
  • Their privacy practices or terms
  • Any issues caused by their downtime or changes
  • Your compliance with their terms of service

You're responsible for complying with third-party terms when using integrations.

12. Disclaimer of Warranties (The Legal CYA)

SodaFlex is provided "as is" and "as available" without warranties of any kind, either express or implied.

To the fullest extent permitted by law, we disclaim all warranties, including:

  • Merchantability (that it's fit for general use)
  • Fitness for a particular purpose (that it'll solve your specific problem)
  • Non-infringement (that it doesn't violate anyone's rights)
  • Accuracy or reliability of content or results

Some jurisdictions don't allow disclaimer of implied warranties, so this may not apply to you.

13. Limitation of Liability (Please Don't Sue Us)

To the maximum extent permitted by law, SodaFlex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

In plain English: If something goes wrong with SodaFlex and it causes you problems (lost revenue, missed opportunities, angry customers, etc.), we're not liable for those indirect damages.

Our total liability for any claim related to SodaFlex is limited to the amount you paid us in the 12 months before the claim. If you're on a free plan, that's $0. (Sorry, but lawyers made us say this.)

Some jurisdictions don't allow limitation of liability for personal injury or certain types of damages, so this may not fully apply to you.

14. Indemnification (You've Got Our Back, Right?)

You agree to indemnify and hold SodaFlex harmless from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of the service
  • Your violation of these terms
  • Your violation of any law or third-party rights
  • Content you upload or generate

Translation: If you do something bad with SodaFlex and someone sues us, you're responsible.

15. Termination (Breaking Up Is Hard To Do)

We may suspend or terminate your account if:

  • You violate these terms
  • Your payment fails repeatedly
  • We suspect fraudulent or abusive activity
  • We're required to by law

We'll try to give you notice before terminating, but we reserve the right to terminate immediately for serious violations.

Upon termination:

  • Your access to SodaFlex will stop
  • You'll lose access to your data (export it first!)
  • You're still responsible for any outstanding fees
  • Sections that should survive termination (like liability, indemnification, etc.) will survive

16. Dispute Resolution (Let's Talk First)

If you have a dispute with us, please contact us at legal@sodaflex.com and let's try to resolve it amicably. Most issues can be worked out with a friendly conversation.

If we can't resolve it informally, you agree that:

  • Governing law - These terms are governed by the laws of the State of Delaware, USA
  • Arbitration - Disputes will be resolved through binding arbitration in Delaware (not court)
  • Class action waiver - You can't join a class action lawsuit against us; disputes must be individual
  • Small claims court - You can still file in small claims court if your claim qualifies

Some jurisdictions don't allow mandatory arbitration or class action waivers, so this may not apply to you.

17. General Legal Stuff (The Boring Part)

Entire Agreement

These terms, along with our Privacy Policy and any other policies we've posted, constitute the entire agreement between you and SodaFlex.

Changes to Terms

We may update these terms from time to time. When we do:

  • We'll update the "Last Updated" date
  • We'll notify you via email for material changes
  • Continued use after changes means you accept the new terms

Waiver

If we don't enforce a provision of these terms, that doesn't mean we waive our right to enforce it later.

Severability

If any provision of these terms is found to be unenforceable, the rest of the terms still apply.

Assignment

You can't transfer your rights under these terms without our permission. We can assign these terms to another company (like if we're acquired).

Force Majeure

We're not liable for delays or failures due to causes beyond our reasonable control (natural disasters, wars, pandemics, alien invasions, etc.).
